Elon Musk seeks a 25% voting control in Tesla before pursuing AI projects, as he currently owns around 13% of the company's stock.

He believes that without this control, the company could be vulnerable to takeovers by questionable parties.

Dual-class hurdles

Tesla also faces hurdles in creating a dual-class voting structure to meet Musk's desired control level as it is "impossible to achieve post-IPO in Delaware."

Shareholder lawsuit

Additionally, Tesla faces a shareholder lawsuit regarding a previous $55 billion compensation package and concerns about succession planning.

AI investments

Tesla is heavily investing in AI and robotics, including the Optimus robot and the Dojo supercomputer, with over $1 billion poured into Dojo.
